               OPTIONS EXERCISE AND SHARE CAPITAL UPDATE

Amlin plc ('Amlin') announces that those of the October 2002 grant of options
under its Savings-Related Share Option Scheme ('Scheme') which were linked to
three year savings contracts reached maturity on 1 December 2005.

A total of 395,244 Ordinary Shares of 25p have consequentially been issued to
employees under the terms of the Scheme, at an exercise price of 78.89p per
share (amount and exercise price as adjusted as a result of Amlin's recent
rights issue).

Following such issue, and the issue of further shares under other Amlin share
option schemes, the issued share capital of Amlin is now 530,025,347 Ordinary
Shares of 25p each, of which 127,805,073 shares (being those issued in the
recent rights issue) do not rank for the final dividend in respect of 2005.
Recently issued shares in respect of share options are included within current
block listings granted by the UK Listing Authority and the London Stock
Exchange.
