Posting of Circular
China Nonferrous Gold Limited (AIM: CNG), the mineral exploration and development company currently developing the Pakrut gold project in the Republic of Tajikistan, announces that it is today posting a circular (the “Circularâ€) to shareholders requesting authority to allot shares in the capital of the Company and to disapply pre-emption rights.
This follows the Company’s commitment in the circular to shareholders of Kryso Resources Plc (now Kryso Resources Limited) (“Krysoâ€) dated 8 May 2013 in which it was stated that holders of options granted pursuant to Kryso’s unapproved share option scheme, together with holders of options granted pursuant to individual unapproved share option agreements, would receive equivalent share options in the Company (“Scheme Optionsâ€). To enable the Company to fulfil this commitment it is requesting authority to grant the Scheme Options and to allot and issue the corresponding Ordinary Shares on exercise of such Scheme Options on a non-pre-emptive basis.
The Circular includes a formal notice of the requisite general meeting, to be held at the offices of Speechly Bircham LLP, 6 New Street Square, London EC4A 3LX at 09.30 a.m. on 7 March 2014.

Project Summary
The Pakrut gold project, of which CNG has 100 per cent ownership, is situated in Tajikistan approximately 120km northeast of the capital city Dushanbe. Pakrut has estimated total JORC compliant resources of 4,720,000 oz Au (assuming a cut-off grade of 0.5 grams per tonne of gold) and is located within the Tien Shan gold belt, which extends from Uzbekistan into Tajikistan, Kyrgyzstan and Western China, and which hosts a number of multi-million ounce gold deposits.
CNG is currently in a construction phase with mining contractors on site developing the underground mine and surface infrastructure.
