Proposed Merger of Informa and Taylor & Francis
Results of Shareholder Meetings
The boards of Informa and Taylor & Francis are pleased to announce that, at the
meetings of their shareholders held earlier today in relation to the Merger of
Informa Group plc with Taylor & Francis Group plc, all of the resolutions
proposed received the overwhelming support of their shareholders. The
resolutions passed were set out in the notices, all dated 19 March 2004, of the
Informa Extraordinary General Meeting, the Taylor & Francis Extraordinary
Meeting and the Taylor & Francis Court Meeting (together the "Shareholder
Meetings").
Commenting on the outcome of the Shareholder Meetings, Peter Rigby, Chairman of
Informa, said: "We are pleased with the results of today's meetings which
validate our strategy and commitment to becoming a leading specialist
information provider. The Enlarged Group will be in a better position to achieve
strong growth for our shareholders. Our complementary portfolios and increased
scale will allow T&F Informa to further exploit market and revenue
opportunities, provide new product ranges to an expanded and growing customer
base and deliver clear benefits to our employees".
David Smith, Chief Executive of Taylor & Francis, commented: "The merger of
Informa and Taylor & Francis is a transforming step for both companies and
establishes a new force in the provision of specialist information. The Enlarged
Group will have significant opportunities for enhanced future revenue growth
arising from new products and brand extensions across the Enlarged Group's
markets and the results of today's Shareholder Meetings endorse this strategy."
The Merger remains subject to the sanction of the Taylor & Francis Scheme of
Arrangement and confirmation of the associated reduction of capital by the
Court, following which it is anticipated that the Merger will become effective
and dealings in new Informa Shares will commence on the London Stock Exchange on
10 May 2004.
Copies of the resolutions passed at the Shareholder Meetings will be available
shortly for inspection by the public at the UK Listing Authority's Document
Viewing Facility which is situated at: Financial Services Authority, 25 The
North Colonnade, Canary Wharf, London E14 5HS (tel. no. +44 (0)20 7066 1000)
during normal business hours on any weekday (Saturdays, Sundays and public
holidays excepted) until completion of the Merger.
Terms used in this announcement shall have the same meaning as in the Listing
Particulars dated 19 March 2004 which were sent to Informa and Taylor & Francis
Shareholders.
