Subscription Rights Exercise

2 October 2015

The Board announces that applications have been received from shareholders in respect of exercise of the annual Subscription Right for 296,903 new Ordinary Shares. Accordingly, 296,903 new Ordinary Shares have been issued, conditional on admission, for an aggregate issue price of £37,935,296.31 at an exercise price of 127.77 pence per Ordinary Share. The new Ordinary Shares will rankpari passu in all respects with the existing Ordinary Shares in issue.

Application will be made for the new Ordinary Shares to be admitted to the Official List of the UK Listing Authority and to trading on the main market of the London Stock Exchange. It is expected that admission will become effective, and that dealings in the new Ordinary Shares are expected to commence on, 6 October 2015.

In light of the prevailing Ordinary Share price and the likely costs of the exercise, the Board, as subscription trustee, has resolved not to exercise any unexercised Subscription Rights in respect of the 1 October 2015 Subscription Date.

As outlined in the circular sent to shareholders on 28 August 2015, relating to the annual Subscription Right, all shareholders will benefit from a new Subscription Right in respect of all Ordinary Shares they hold on 3 October 2016 entitling them to subscribe for further new Ordinary Shares on 3 October 2016 at a price equal to the undiluted net asset value of an Ordinary Share on 2 October 2015.

A copy of the Company's Articles of Incorporation which contains full details of shareholders' Subscription Rights can be found at the Company's website (www.atlantisjapangrowthfund.com). Terms not defined in this announcement are as defined in the Articles of Incorporation.
