          Retirement of Winton Willesee as Non-Executive Director and          

                       Final Director's Interests Notice                       

Base Resources Limited (AIM:BSE) ("Base") wishes to advise that Winton Willesee
has retired as a Non-Executive Director however will continue in his role as
Company Secretary.

Winton's retirement comes as part of the ongoing evolution of the composition
of the Board as we move into the next phase of the development of Base
Resources. Winton has been a director of Base since its inception and has
played a vital role in what has been a dynamic and transformational period. We
look forward to his continued valuable contribution as Company Secretary.

The Company provides the following required information:

Upon his retirement, Mr Willesee held an interest in the following securities
of the Company:

  - 595,834 Fully Paid Ordinary Shares
  - 300,000 Options exercisable at AU$0.09 on or before 9 July 2015
  - 300,000 Options exercisable at AU$0.25 on or before 9 July 2015

Of the securities listed above, a total of 400,000 fully paid ordinary shares
were registered in the name of Silverinch Pty Ltd as trustee for the Silverinch
Superannuation Fund. The remaining securities were registered in the name of
Azalea Family Holdings Pty Ltd as trustee for the Britt & Winton Willesee
Family Trust. Mr Willesee is a director of Silverinch Pty Ltd and Azalea Family
Holdings Pty Ltd and is a beneficiary of the Silverinch Superannuation Fund and
the Britt & Winton Willesee Family Trust.
