                                 APPOINTMENT OF INDEPENDENT FINANCIAL ADVISER

Reference is made to the announcements of Datang International Power Co., Ltd. (the "Company") dated 23 December 
2014 (the "Announcements") in relation to the Framework Agreement of Sale of Natural Gas, the Sale and Purchase 
Contract of Chemical Products (Keqi), the purchase of Chemical Products under the Sale and Purchase Contract of 
Chemical Products (Duolun) and the Fuel Purchase Framework Agreement (the "Agreements"). Unless otherwise defined, 
capitalised terms used in this announcement shall have the same meanings as those defined in the Announcements.

Quam Capital Limited has been appointed as the independent financial adviser (the "Independent Financial Adviser") 
to advise the independent board committee and the independent shareholders in connection with the Agreements. The 
letter of advice from the Independent Financial Adviser in respect of the Agreements will be included in the 
circular to be despatched by the Company in due course.
