Related Party Transaction
Further to the announcement on 14 July 2009 relating to the sale of part of its
holding in ToLuna plc ("ToLuna"), its largest investee company, the Company
announces that it has paid a commission of £300,000 to Frederic-Charles Petit,
the Chief Executive of Toluna, in respect of the sale of part of its holding in
Toluna for the introduction of the buyer to Eurovestech. As Mr Petit was, at
the time of the sale, a director of a subsidiary of Eurovestech, the
transaction is deemed to be a related party transaction under Rule 13 of the
AIM Rules. The Directors of Eurovestech consider, having consulted with John
East & Partners Limited, that the terms of the transaction are fair and
reasonable insofar as its shareholders are concerned.
In the announcement on 14 July 2009, it was stated that the net proceeds due to
the Company after disposal costs would be £7.4 million. Following the above
payment, the net proceeds of the sale were £7.1 million.
