Notification of transactions of directors/persons discharging managerial
responsibility ("PDMR")
FirstGroup plc (the "Company") announces that on 25 January 2011 a grant of an
award over the Company's ordinary shares of 5 pence each was made to the
Company's Chief Executive, Tim O'Toole, as a retention award (the "Retention
Share Award") as detailed in the table below.
The Retention Share Award takes the form of a conditional share award and will
vest on 1 November 2013 provided that Tim O'Toole has not ceased to be employed
by the Company or given notice of his resignation (other than for certain good
leaver reasons). There is no consideration payable for the grant of the
Retention Share Award.
