 GRANT OF AWARDS UNDER THE FIRSTGROUP PLC EXECUTIVE ANNUAL BONUS PLAN ("EABP") 

FirstGroup plc (the "Company") announces that the following Directors and PDMRs
of the Company were each granted a nil cost award on 10 June 2014, after set
performance conditions were achieved during the financial year 2013/14, over
the Company's ordinary shares of 5 pence under the EABP. This notification
relates to (i) a transaction notified in accordance with DTR 3.1.4R(1)(a) or
(ii) DTR 3.1.4(R)(1)(c) a disclosure made in accordance with section 793 of the
Companies Act 2006; or (iii) both (i) and (ii) as follows:
