Transfer of shares held in treasury and Directors'/PDMRs' Shareholding
FirstGroup plc ("the Company") announces that on 18 May 2006 it transferred to
the Trustees of the FirstGroup Employee Benefit Trust (the "EBT") 875,000
ordinary shares. The highest price paid was 406.8991 pence per share and the
lowest price paid was 395.9891 pence per share. The shares were all formerly
held as treasury shares.
FirstGroup plc shares held by the EBT are used to satisfy awards made to
participants in the Company's Performance Share Plan, Executive Share Option
Scheme and Executive Annual Bonus Plan.
Following the above transfer of shares out of treasury, the Company holds a
total of 5,650,263 of its ordinary shares in treasury. The total number of
ordinary shares in issue excluding treasury shares is 393,101,058.
The transaction took place at 395 King Street, Aberdeen AB24 5RP.
The following executive directors and PDMRs of the Company are potential
beneficiaries of the EBT and are deemed to be interested in those shares for
the purposes of section 324 of the Companies Act 1985 and Disclosure Rule
3.1.2.
