Voting Rights and Capital
In accordance with Disclosure and Transparency Rule 5.6.1, we hereby make the following
notification.
As at the close of business on 31 December 2012 Hays plc:
- had 1,464,096,566 issued Ordinary shares of 1p each admitted to trading. Each Ordinary
share carries the right to one vote in relation to all circumstances at general meetings of
Hays plc; and
- held 65,268,091 Ordinary shares in treasury. The voting rights of treasury shares are
automatically suspended.
Accordingly, the total number of voting rights in Hays plc is 1,398,828,475.
The total voting rights figure of 1,398,828,475 may be used by shareholders as the denominator
for the calculations by which they will determine whether they are required to notify their
interest, or a change to their interest, in the Ordinary share capital of Hays plc under the
FSA's Disclosure and Transparency Rules.
