Statement re Completion Announcement

       COMPLETION OF PURCHASE OF PORTFOLIO OF INFRASTRUCTURE INVESTMENTS       

HSBC Infrastructure Company Limited (the "Company") is pleased to announce
that, pursuant to a Sale and Purchase Agreement entered into with HSBC
Infrastructure Fund and HSBC Infrastructure Limited on 23 March 2006 for the
acquisition of interests in 15 infrastructure projects (the "Initial
Portfolio") at a total price of £250,060,000 (including outstanding
subscription obligations), completion in relation to 13 of the 15
infrastructure projects took place on 30 March 2006. Completion in respect of
the remaining 2 projects, representing less than 10% of the Initial Portfolio
on the basis of the Directors' valuation, is expected to take place in the near
future.
