ITM Power Plc announces today that 77,000 new Ordinary Shares of 5p each ('New
Ordinary Shares') have been issued and allotted following an exercise of
options by employees of the Company.

Application has been made to the London Stock Exchange for the New Ordinary
Shares, which will rank pari passu with the existing shares in issue, to be
admitted to trading on AIM, and admission is expected to become effective on 6
March 2006. Following the issue of these new ordinary shares the number of
ordinary shares in issue is 91,970,250
