LMS Capital plc (the "Company")
Results of General Meeting - Proposed Tender Offer
The Company announces that, at the general meeting held today, the resolution
proposed in relation to the authorisation of the Company to make one or more
market purchases of ordinary shares in connection with the proposed tender
offer for ordinary shares (the "Resolution") was passed as a special
resolution.
The voting figures for the Resolution (set out in full in the Notice of General
Meeting dated 3 July 2013) were as follows:

The proportion of the Company's issued share capital represented by the votes
cast was 66.36%.
The results of the general meeting (including this information) will shortly be
available on the Company's website at www.lmscapital.com.
In accordance with the UK Financial Conduct Authority's Listing Rules, a copy
of the Resolution will shortly be submitted to the National Storage Mechanism
and will be available for inspection at www.morningstar.co.uk/uk/NSM.
