Director/PDMR Shareholding

                            Directors' Shareholding                            

The Company has been notified that on 12 December 2012, Pierce Casey (Executive
Chairman) purchased 12,500 ordinary shares in the issued share capital of the
Company (the "Ordinary Shares"). The Company was also notified yesterday that
Jon Moulton, an existing shareholder, purchased 12,500 Ordinary Shares on the
same day.

Following a share subscription in the Company on 13 November 2012, Mr Casey and
Mr Moulton, who are deemed to be acting in concert for the purposes of the City
Code on Takeovers and Mergers ("the Takeover Code") (together, the "Concert
Party"), held 49.06 per cent., in aggregate, of the Company's issued voting
share capital. In accordance with Note 11 on Rule 9 of the Takeover Code, the
Concert Party is able to increase its aggregate shareholding to in excess of 50
per cent. of the issued share capital of the Company before 15 November 2013
without incurring an obligation to make an offer for the entire issued share
capital of the Company.

The purchases, together with the resultant holdings in the issued share
capital, are as follows:
