controls the voting rights of Threadneedle Management Luxembourg SA and
Threadneedle Asset Management Holdings Limited (which itself controls the
voting rights of Threadneedle Asset Management Limited, Threadneedle
International Limited and Threadneedle Pensions Limited), has an interest in
5,083,787 Ordinary Shares of 5p each which represents 10.288% of the issued
share capital of Oxford Instruments plc.

It has voting rights over 5,083,787 shares (of which 66,752 (0.135%) are direct
and 5,017,035 (10.153%) are indirect).
