PARITY GROUP PLC ('THE COMPANY')
Notification of directors' interests: Companies Act 1985 s.324
On 30 March 2004, the Company granted options under the Parity Group 1999
Unapproved Company Share Option Plan (the 'Plan') over Parity Group plc
ordinary shares at an exercise price of 11.25p per share to Directors of the
Company as follows:

No consideration was paid on the grant of the options. The options will only
become exercisable over the total number of shares under option if the
stringent performance targets set at the date of grant are fully satisfied at
the end of the relevant performance period. Options will not normally vest
until three years after grant.
