                          PENDRAGON PLC ('Pendragon')                          

As a result of the reduction of Pendragon's issued share capital following
Pendragon's share buy back announced on 28 February 2003, the following
percentage holdings on the total issued share capital of Pendragon PLC have
changed.

Fidelity International Limited (last reported holding of 7,223,391 Pendragon
ordinary shares) now represents 13.17% of Pendragon's issued share capital.

Standard Life Investments Limited (last reported holding of 3,118,751 Pendragon
ordinary shares) now represents 5.68% of Pendragon's issued share capital.

Legal and General Investment Management Limited (last reported holding of
1,848,676 Pendragon ordinary shares) now represents 3.37% of Pendragon's issued
share capital.

Prudential plc (last reported holding of 1,740,000 Pendragon ordinary shares)
now represents 3.17% of Pendragon's issued share capital.

On 27th February 2003 Schroder Investment Management Limited confirmed that,
following a recent transaction, its total notifiable interest in the ordinary
shares of Pendragon has decreased to 2,300,000 shares, which as a result of the
share buy back now represents 4.19% of Pendragon's issued share capital.

On 27th February 2003 Jupiter Asset Management Limited confirmed that,
following a recent transaction, its total notifiable interest in the ordinary
shares of Pendragon has decreased to 4,617,776 shares, which as a result of the
share buy back now represents 8.42% of Pendragon's issued share capital
