ANNOUNCEMENT
Pendragon PLC ("Pendragon")
The Company has today been notified that on 15 March 2007 Investec Trust
(Guernsey) Limited as trustee of the Pendragon Employee's Share Trust ("the
Trustee") acquired 665,055 ordinary shares in Pendragon, representing 0.10% of
the issued share capital of Pendragon at a price of £1.107 per share. This
brings the aggregate amount of issued share capital held by the Trustee to
21,318,520 representing 3.25% of the total issued share capital of Pendragon.
The executive directors of Pendragon (being Trevor Finn, David Forsyth, Martin
Casha and Hilary Sykes) are potential beneficiaries in the shares held by the
Trustee, as they are participants in the Pendragon 1999 Executive Share Option
Scheme, the Pendragon Long Term Incentive Plan 2006, and as members or
potential members of the Pendragon Sharesave Schemes and therefore they each
have a beneficial interest in the shares held by the Trustees.
