NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS
This notification relates to DR 3.1.4R(1)(a) and DR 3.1.4R(1)(b).
The Company announces that it has been notified of the following reorganisation
of the shareholding of the following executive directors for tax planning
purposes:
1. Ed Williams has transferred 2,360,795 shares (being 1.86% of the issued
share capital excluding treasury shares) to a Trust for members of his
family, the trustees of which are Ed Williams and Mr Nicholas Shaw, and
47,200 shares (being 0.04% of the issued share capital excluding treasury
shares) to Thesis Nominees Ltd in relation to a contribution in specie to a
SIPP. The transfer to the Trust took place on 3 April 2008 and was notified
to the Company on 3 April 2008. The transfers to the SIPP took place on 1
April and 3 April 2008 and were notified to the Company on 3 April 2008. Ed
Williams retains the voting rights on the shares placed in the Trust and
the shares will revert to him on 30 July 2008. Ed Williams also retains the
voting rights on the shares placed in the SIPP. Therefore his total voting
rights in the Company remains the same at 2,407,995 shares (being 1.9% of
the issued share capital excluding treasury shares).
2. Nick McKittrick has transferred 871,000 shares (being 0.69% of the issued
share capital excluding treasury shares) to a Trust for members of his
family, the trustees of which are Nick McKittrick and Mr Nicholas Shaw, and
29,000 shares (being 0.02% of the issued share capital excluding treasury
shares) to Thesis Nominees Ltd in relation to a contribution in specie to a
SIPP. The transfer to the Trust took place on 3 April 2008 and was notified
to the Company on 3 April 2008. The transfer to the SIPP took place on 1
April 2008 and was notified to the Company on 3 April 2008. Nick McKittrick
retains the voting rights on the shares placed in the Trust and the shares
will revert to him on 30 July 2008. Nick McKittrick also retains the voting
rights on the shares placed in the SIPP. Therefore his total voting rights
in the Company remains the same at 900,000 shares (being 0.71% of the
issued share capital excluding treasury shares).
In addition the Company was notified on 2 April 2008 of a sale of shares for
tax planning purposes by a PDMR, Miles Shipside, as follows:
