Serco Group plc announces that on 29 April 2008, Andrew Jenner, Finance
Director transferred to his wife 12,036 ordinary shares which vested under the
Deferred Bonus Scheme on 8 March 2008. 6,018 were deposited shares which had a
market price at grant of 242 pence per share and the remaining 6,018 matching
shares had a market price at exercise of 437.25 pence per share.

This notice is given in fulfilment of obligations under D3.1.2R and DR3.1.4(1)(a)R.
