Serco Group plc (the "Company") advises that, on 8 June 2012, the individuals
below, each a person discharging managerial responsibility, were granted
options to acquire at nominal cost (with the exception of Mr Casey, whose
options are exercisable at nil cost) the number of ordinary shares of 2p each
in the Company shown below opposite their names, through participation in the
Serco Group plc Performance Share Plan:

The number of shares which will vest under the Performance Share Plan is
conditional upon the satisfaction of two independent performance conditions
over a three-year performance period ending 31 December 2014. Half of the award
is subject to TSR compared to the companies in the FTSE 51 to 130 (excluding
investment trusts) and half is subject to annual compound EPS growth.
The EPS growth range for the performance period has been set at annual compound
EPS growth of 5.5% at threshold to 10.5% at maximum. The definition of EPS is
basic EPS excluding material acquisitions, disposals, currency movements and
before amortisation on acquired intangibles and acquisition-related costs.
This notice is given in fulfilment of obligations under DTR3.1.2R and DTR3.1.4R
(1)(a).
