Director's Acquisition of Shares

  

Capital & Counties Properties PLC (the "Company") has been notified that:

 i. Director Share Purchase:
   
On 15 and 16 May 2012, Soumen Das, the Company's Finance Director, purchased a
total of 37,424 ordinary shares of 25p each at a weighted average price 191.40p
per share.

Soumen Das now holds 236,470 ordinary shares of 25p each in the Company
(0.035%).

ii. Awards of Matching Options:
   
Pursuant to the Company's Matching Share Plan, on 16 May 2012, the following
nil cost matching options were awarded in respect of the share purchases above:
