Total Voting Rights
Further to the announcement released earlier today confirming that the scheme of arrangement to affect the recommended offer by 1Spatial plc for the entire issued ordinary share capital of Enables IT Group plc ("Enables IT") had been sanctioned by the Court, the Company confirms that 30,831,262 new ordinary shares in the capital of the Company (the "New Ordinary Shares") have been issued and allotted, conditional on admission, to Enables IT shareholders in respect of the offer. Application has been made for admission to trading on AIM of New Ordinary Shares and dealings are expected to commence on 24 July 2015.
Following admission of the New Ordinary Shares, the Company will have a total of 713,246,616 ordinary shares in issue, including 3,500,000 ordinary shares which are held in treasury. Consequently, the total issued share capital with voting rights will be 709,746,616.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
