3i Group plc (the 'Company')

The following is a correction to the Director/PDMR Shareholding announcement
released at 16.00 on 28 July 2006 under RNS number 9296G relating to the number
of B Shares sold on 24 July 2006 by Directors and PDMRs in the Initial Purchase
Offer (as defined in the Company's circular to shareholders dated 15 June 2006).

The above announcement stated that C J M Morin-Postel, a Director and PDMR of
the Company, had sold 1,872 B Shares in the Initial Purchase Offer, whereas she
had not sold any B Shares in that offer. The reference to C J M Morin-Postel
should therefore not have been included.
