As potential beneficiaries of The 3i Group Employee Trust (the 'Trust') all
employees of 3i Group plc (the 'Company') and its subsidiaries have an interest
(within the meaning of sections 324 to 328 of the Companies Act 1985) in all the
ordinary shares of 62 69/88p each in the Company ('Shares') held by the Trust.
These employees include P E Yea, S P Ball and M J Queen, who are Directors of
the Company.



On 17 August 2006 the Company was notified that on 17 August 2006 the Trustee of
the Trust purchased 3,244 Shares at a price of 955.5 pence per Share.



The place of the above transaction was the London Stock Exchange.
