In accordance with the 3i Group plc (the 'Company') letter to holders of B shares dated 12 June 2008 (the 'Booklet'), on 28 July 2008 the Broker's Offer was completed and those B shareholders who had validly elected to participate in the Broker's Offer had their relevant B Shares purchased from them at a price of 127p per share.  As a result, on 28 July 2008 those Directors and Persons Discharging Managerial Responsibilities ('PDMRs') of the Company who participated in the Broker's Offer had the following changes to their interests in the issued share capital of the Company:

Directors and PDMRs of the Company notified the Company of the above changes to their interests on 28 July 2008.  The above transactions took place on the London Stock Exchange.

Defined terms used in this announcement shall bear the meanings given in Part 5 (Definitions) of the Booklet.

In addition to the above dealings in B Shares, on 28 July 2008 the Company was also informed that 4,517 B Shares had been sold by a person connected to Mr M J Queen, at a price of 127p per Share, in the Initial Purchase Offer (as defined in the Company's circular to Shareholders dated 15 June 2006) on 24 July 2006.
