1. Following Mr M J Queen's appointment as Chief Executive on 28 January 2009, and pursuant to the rules of The 3i Group Discretionary Share Plan and The 3i Group Deferred Share Bonus Plan, on 6 February 2009, Mr Queen, a Director and person discharging managerial responsibilities of 3i Group plc (the 'Company'), was granted awards over ordinary shares of 73 19/22p each in the Company as detailed below:

The Performance Share Award is subject to a performance condition. The Award under The 3i Group Deferred Share Bonus Plan is subject to a three year service condition. The consideration for the awards detailed above was nil. Mr Queen notified the Company of the changes in his interests on 9 February 2009.
2. Following Mr M J Queen's appointment as Chief Executive, and pursuant to the rules of The 3i Group Discretionary Share Plan, on 9 February 2009, Mr Queen, a Director and person discharging managerial responsibilities of 3i Group plc (the 'Company'), was granted options to acquire 936,170 ordinary shares of 73 19/22p each ('Shares') of the Company subject to a performance condition. The options are exercisable from and including 9 February 2012 at a price of 350p per Share and shall lapse on 8 February 2019. The consideration for the grant was nil. Mr Queen notified the Company of the change in his interests on 9 February 2009.
