On 23 July 2010 3i Group plc (the "Company") was notified that on 22 July 2010 Willem Mesdag, a Director and person discharging managerial responsibilities ("PDMR") of the Company, acquired 816 ordinary shares of 7319/22p each in the Company ("Shares") at a price of £2.81 per Share.  These Shares were acquired under the Company's Dividend Reinvestment Plan following payment of the Company's final dividend on 16 July 2010.

The place of this transaction was the London Stock Exchange.
