As potential beneficiaries of The 3i Group Employee Trust (the 'Trust') all
employees of 3i Group plc (the 'Company') and its subsidiaries have an interest
in all the ordinary shares of 62 69/88p each in the Company ('Shares') held by
the Trust. These employees include P E Yea, S P Ball and M J Queen, who are
Directors of the Company.

On 14 November 2006, the Company was notified that on 13 November 2006 the
Trustee of the Trust purchased 600,000 Shares at an average price of 1004.38p
per Share.

The place of this transaction was the London Stock Exchange.
