2004 Performance Share Awards under the 3i Group Discretionary Share Plan


Pursuant to the rules of The 3i Group Discretionary Share Plan ('the Plan'), on
9 and 31 July 2007 respectively the Remuneration Committee of 3i Group plc ('the
Company') considered the performance conditions attached to awards made under
that Plan in 2004 and determined that the performance conditions had been
satisfied as to 90% and 97.7%.

As a result of the above, those Directors and persons discharging managerial
responsibilities ('PDMRs') of the Company who received 2004 Plan awards,
forfeited the number of ordinary shares of 73 19/22p each ('Ordinary Shares')
and B Shares in the Company detailed against their name below. On 7 September
2007 the Company was informed that these forfeited Ordinary Shares (and in the
case of P E Yea his forfeited B Shares) had been transferred from the relevant
Director/PDMR to The 3i Group Employee Trust on the date specified below. In the
case of M J Queen and A W W Brierley their forfeited B Shares were sold in the
Brokers' Offer on 23 July 2007 and the relevant sale proceeds transferred by
them to The 3i Group Employee Trust.
