The Listing Rule - Chapter 16. Paragraph 16.13

Pursuant to the Rule of The 3i Group Discretionary Share Plan and The 3i Group
1994 Executive Share Option Plan, on 9 August 2001, the executive directors (the
'Directors') of 3i Group plc listed below were granted the right ('Option') to
subscribe for the number of shares ('Shares') of 50p each in the Company
detailed against their name below at a price of 1000p per Share.  The Options
are exercisable from and including 9 August 2004 and will lapse on 8 August
2011.  The consideration for the grant of the Options was nil.

Pursuant to the Rules of The 3i Group Management Equity Investment Plan, on 9
August 2001, the Directors listed below were granted a Share Bonus Award, being
a right to acquire the number of Shares detailed against their names below at a
price of £Nil.  The Awards are exercisable from and including 9 August 2004 and
will lapse on 8 August 2011.  The consideration for the grant of the Awards was
nil.
