3i Group plc: Special business passed at 2005 AGM

3i Group plc (the 'Company') announces that all the resolutions contained in the
Notice of AGM dated 11 May 2005, were passed at the Company's Annual General
Meeting held on 6 July 2005.  These included resolutions 2, 11, 12 and 13 which
constitute special business.

Two copies of the full text of the resolutions constituting special business
