3i Group plc: Special business passed at EGM

3i Group plc (the 'Company') announces that all the resolutions contained in the
Notice of EGM dated 7 June 2005, were passed at the Company's Extraordinary
General Meeting held on 6 July 2005.  All of these resolutions constituted
special business.

Two copies of the full text of the resolutions were submitted to the UK Listing
