On 6 September 2005 it was announced that 3i Group plc had purchased 225,000 of
its own ordinary shares of 53 1/8p each ('Shares'), for cancellation.  The
Company now confirms that these Shares were cancelled as follows:

The Company's issued share capital as at 9 September 2005, following the
cancellation of the above Shares, was 559,928,274 Shares.
