Transaction in Own Shares

On 22 September 2005 and 23 September 2005 it was announced that 3i Group plc
had respectively purchased 1,000,000 and 225,000 of its own ordinary shares of
53 1/8p each ('Shares'), for cancellation.  The Company now confirms that
these Shares were cancelled as follows:

The Company's issued share capital as at 28 September 2005, following the
cancellation of the above Shares, was 558,021,751 Shares.
