The following replaces the 'Transaction in Own Shares' announcement released on
26 October 2005 at 13.51 under RNS Number 1991T. That announcement gave an
incorrect issued share capital figure as at 25th October, due to receipt of
incorrect information. It should have read as now detailed below.
3i Group plc
On 20th & 21st October 2005 it was announced that 3i Group plc had purchased
1,115,000 & 400,000 respectively of its own ordinary shares of 53 1/8p each
('Shares'), for cancellation. The Company now confirms that these Shares were
cancelled as follows:

The Company's issued share capital as at 25 October 2005, following the
cancellation of the above Shares, was 553,922,039 Shares.
