Transaction in Own Shares

On 24 October, 25 October and 26 October 2005 it was announced that 3i Group plc
had purchased 275,000,  500,000 and 500,000 respectively of its own ordinary
shares of 53 1/8p each ('Shares'), for cancellation.  The Company now
confirms that these Shares were cancelled as follows:

            500,000                                         28th October 2005
            775,000                                         31st October 2005



The Company's issued share capital as at 31 October 2005, following the
cancellation of the above Shares, was 552,661,685 Shares.
