On 20 February 2006 it was announced that 3i Group plc had purchased 35,000 of
its own ordinary shares of 53 1/8p each ('Shares'), for cancellation.  The
Company now confirms that these Shares were cancelled as follows:

The Company's issued share capital as at 23 February 2006, following the
cancellation of the above Shares, was 550,148,018 Shares.
