On 25 July 2005, 27 July 2005, 28 July 2005 and 1 August 2005 it was announced
that 3i Group plc had respectively purchased 350,000, 750,000, 500,000 and
425,000 of its own ordinary shares of 53 1/8p each ('Shares'), for
cancellation.  The Company now confirms that these Shares were cancelled as
follows:

                500,000                            1 August 2005
                425,000                            4 August 2005


The Company's issued share capital as at 4 August 2005, following the
cancellations of the above Shares, was 573,061,104 Shares.
