Transaction in Own Shares

On 4 August 2005 and 5 August 2005 it was announced that 3i Group plc had
respectively purchased 1,250,000 and 1,750,000 of its own ordinary shares of 53
1/8p each ('Shares'), for cancellation.  The Company now confirms that
these Shares were cancelled as follows:

                   9 August 2005                                 1,750,000



The Company's issued share capital as at 9 August 2005, following the
cancellations of the above Shares, was 570,061,104 Shares.
