On 8 August 2005 (twice), 9 August 2005 and 10 August 2005 it was announced that
3i Group plc had respectively purchased 500,000, 500,000, 500,000 and 1,250,000
of its own ordinary shares of 53 1/8p each ('Shares'), for cancellation.
The Company now confirms that these Shares were cancelled as follows:

The Company's issued share capital as at 15 August 2005, following the
