1. Long Term Incentive Plan
On 21 April 2008 the Company granted the following awards in the form of
nil-cost options ('Awards') under the Standard Life Long Term Incentive Plan

The LTIP
The Awards will vest on 21 April 2011, but only to the extent that certain
performance criteria based on return on capital are satisfied by the Company
over a three-year performance period which commenced on 1 January 2008. Further
information is available in the Company's remuneration report for the year ended
31 December 2007. Once vested, an Award may be exercised in the 6 months
thereafter. No consideration is payable on the grant or vesting of the Awards.
2. The Standard Life Share Plan
As eligible employees, all of the above also received 110 free shares on 21
April 2008 on the basis of the performance of the Company to 31 December 2007.
This notice is given in fulfilment of obligations under DTR 3.1.4 (R).
