Result of Tender Offer and Tender Price

Aberdeen Diversified Income and Growth Trust plc (the "Company") announces that it has received valid tender acceptances in respect of 87,348,723 Ordinary Shares of the Company representing 32.7 per cent. of the Ordinary Shares in issue, excluding shares held in treasury.

Tenders in excess of the Basic Entitlement, being 20 per cent. of the Ordinary Shares held at the record date of 7 March 2017, will be satisfied pro rata in proportion to the excess over the Basic Entitlement tendered, rounded down to the nearest whole number of Ordinary shares. The percentage of excess applications being accepted is 40.66%. Such tendered Ordinary shares, totalling 53,407,456, will be repurchased by the Company.

In accordance with the Circular issued by the Company on 6 March 2017, the Tender Price has been calculated as 116.1597 pence per Ordinary Share. The implementation date for the Tender Offer will be 10 April 2017.

Payment of the Tender Price due to Shareholders whose tenders have been accepted will be made (by a Sterling cheque or by a CREST payment, as appropriate) on or as soon as practicable after 10 April 2017.  Balancing share certificates and cheques are expected to be despatched to certificated Shareholders on or after 18 April 2017. 

Terms used and not defined in this announcement shall have the meaning given to them in the Circular published on 6 March 2017.
