                                 BOARD CHANGES


API Group plc announced today the appointment of David Walton (38) to the
position of Chief Executive with immediate effect.


David replaces Derek Ashley, who has resigned from the Board and the Company to
pursue other interests. The Board thanks Derek for his contribution to API in a
period of challenging conditions and wishes him well.


David has a detailed knowledge and understanding of API's businesses and the
issues that they face, both at an operational and financial level, and has made
a considerable contribution to the restructuring and reorganisation of the Group
since joining API as Finance Director in December 2001. Prior to joining API, he
was Senior Vice President of AGT Inc, a publicly traded US company in the
graphics industry and has extensive international experience having worked in
operational and financial roles in the UK, US, France and Asia Pacific.


Supported by a strong and established financial team at API, David will continue
to hold the position of Finance Director, until a successor is appointed.


In addition, Colin Ames (57) will join the Board as an executive director. Prior
to his appointment as the Group's Director of Operations in 2003, Colin was the
General Manager of the Laminates division, API's most successful business. He
has considerable experience in the packaging and converting industries, having
spent most of his working life in these areas.


Commenting on the changes, David Hudd API's Chairman said:


'David's promotion to Chief Executive reflects the contribution he has made to
the Group since he joined just two and half years ago. We believe he has the
experience and knowledge to lead API in what remain challenging conditions. He
will be supported by Colin Ames who is a highly experienced operational manager.
We are grateful to Derek for the contribution he has made and wish him well in
the future.'
