DIRECTORATE CHANGE

The Directors of the Company are pleased to announce the appointment of Carol Ferguson and Lynn Ruddick as non-executive Directors of the Company, and the retirement of Neil Dunn as a non-executive Director of the Company, with effect from 4 February 2009.  

CAROL FERGUSON

Carol Ferguson is a chartered accountant with more than 30 years' experience in the investment and financial services industry. She began her investment career with Ivory & Sime, a fund management company, before moving to Wood Mackenzie & Co, stockbrokers, becoming a partner in 1984. Her most recent position was as finance director at Timney Fowler, a textiles company.

Her non-executive appointments include the Chartered Accountants Compensation Scheme Limited and The Association of Investment Companies ('AIC'), where she is Chairman, as well as acting as Trustee of the AIC Pension Scheme and as a Member of the Panel on Takeovers and Mergers.

In addition, in accordance with Listing Rule 9.6.13R there are no details to be disclosed in respect of the requirements of paragraphs (2) to (6) other than, under paragraph (4), that Carol Ferguson is a Director of Ardana PLC which was placed in administration on 30 June 2008.

LYNN RUDDICK

Lynn Ruddick is a fellow of the Chartered Association of Certified Accountants and a

Member of the Securities Institute. She retired as a Managing Director of Merrill

Lynch Investment Managers in 2004 after more than 30 years' experience in the investment management industry. She is a former Chairman of the Investment Committee of the National Association of Pension Funds.

She is a Trustee of the Scottish & Newcastle Pension Plan, a member of the Investment Committees of The Pearson Group Pension Plan and Western Provident Association and Chairman of the WPA Pension Fund Trustee Board.

NEIL DUNN

Pursuant to the Board changes intimated in the Shareholder Circular and Prospectus, dated 23 December 2008, Neil Dunn has retired as a Director of the Company. The Board would like to thank Neil for his considerable contribution as a Director over a number of years which have involved substantial changes for the Company.
