ACORN INCOME FUND LIMITED (THE "COMPANY")

CHANGE IN DIRECTORATE

Pursuant to Listing Rule 9.6.11R the Company announces the retirement of Mr John Boothman as Chairman of the Company effective from 22 August 2012.  Mrs Helen Green on behalf of the Company expressed her thanks to Mr Boothman for his contribution to the Company since joining the Board in October 2003.

The Board of the Company also announces today that Mrs Green will replace Mr Boothman as Chair of the Company with effect from 22 August 2012.

The Company is pleased to announce the appointment of Mr David Warr as a non-executive director with effect from 22 August 2012.

Speaking for the Company, Mrs Green said:

"I am delighted to welcome Mr Warr to the board of the Company. He brings with him a wealth of experience in the area of offshore funds that I feel sure will be invaluable to us in the next phase of our development."

Details of Mr Warr's experience are set out below:

Mr Warr is a Fellow of the Institute of Chartered Accountants in England and Wales. Mr Warr is also a non-executive director of Breedon Aggregates Limited, Schroder Real Estate Investment Trust Limited, UK Select Trust Limited, Unigestion (Guernsey) Limited and Mid Europa Fund Management Limited. Mr Warr is resident in Guernsey.

Mr Warr has confirmed that there is no other information to be disclosed under UKLA Listing Rule LR 9.6.13R.
