Acorn Income Fund Limited (the 'Company')


In accordance with the FSA's Disclosure & Transparency Rules, the Company
advises that its share capital comprises 29,600,002 Ordinary shares. The voting
rights on all these shares are identical.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in the Company under the FSA's
Disclosure and Transparency Rules.
