Active Energy, the AIM - quoted Biomass fuel and energy efficient solutions provider announces that Christopher Foster has resigned as an Executive Director of the Company with immediate effect to pursue his other business interests.

Christopher joined the Board in June 2007 and has overseen a number of transactions since his appointment including the sale of Gasignition Limited and Derlite Co Limited and the acquisition of the Active Energy business ("Active Energy"), Red Line Engineering Services Limited ("Red Line") and Bioenerho-Leader Limited ("Bioenerho").

Christopher has decided to stand down as a director following the completion of the Bioenerho acquisition and following the commencement of trading in Ukraine, having made its first shipment of orders to its first Polish contracted customer, Medium Sp Z.o.o.

As part of the terms of his service agreement Christopher Foster has been issued 743,266 ordinary shares in the capital of the Company In lieu of salary for the period May 2011 to January 2012 Christopher's beneficial shareholding following the issue of these shares will be 11,163,240 ordinary shares representing 4.7 per cent. of the enlarged issued share capital of the Company.

Application will be made for the shares to be admitted to trading on AIM. Admission is expected to become effective and dealings are expected to commence on AIM on 10 February 2012. Following the issue of the shares, the Company will have 237,252,237 ordinary shares in issue.

The Company intends to appoint a replacement director as soon as practicable and will make a further announcement once a suitable person has been identified.

"We would like to thank Christopher for his contribution to the Company over the last five years, especially in the lead up to the acquisition process of Bioenerho-Leader Limited.  Following this acquisition the Company has started to ship biomass materials from the Ukraine to our first Polish customer and is looking to further build this business as a core part of Active Energy's proposition.  Christopher is now seeking to pursue other plc interests and the Board wishes him well in his future endeavours.

Our initial order for biomass feedstock is positive news for the Company and we are now working hard to increase sales. The Company is encouraged by the number of potential opportunities in this market particularly in Poland and other EU markets and hopes to capitalise on this in the short to medium term."
