Board Resignations and Appointments
Following the successful completion of the Open Offer to raise £990,200, LEPCO
plc, the AIM listed oil and gas company, announces the following changes to
the Company's board as set out in the circular to shareholders dated 20 June
2001 ('the Circular'). At a board meeting of the Company held earlier today P
J Bassett, Prof A M Lees and J G West resigned from the board of LEPCO. In
addition P K Wilde resigned as an executive director but will remain on the
board as a non-executive director.
In addition the following appointments were also made to the board:

Richard Anthony O'Toole non-executive director
Graeme Paul Thomson non-executive director

Richard O'Toole was a director of Harty Holdings Limited ('Harty') which ran
into financial difficulties in 1999, principally because it was unable to
obtain payment on a large contract. In January 2000 Harty sought the
protection of the court and in May 2000 a scheme of arrangement was approved
by the Irish High Court. Harty came out of court protection in June 2000 at
which time Mr O'Toole resigned as a director. Harty subsequently experienced
further difficulties and went into liquidation in April 2001.
Henry Wilson was a non-executive director of Ocean Recognition Limited, having
made a financial investment in the company. The company then suffered trading
difficulties and following legal advice was put in to liquidation on 4 August
1999.
Henry Wilson was also a non-executive director of Impulse Entertainment
Limited, having made a financial investment in the company. The company
suffered trading difficulties and following legal advice was put into
liquidation on 21 March 2001.
Graeme Thomson was a non-executive director in Butters, Strugnell & Waleczek
Limited until September 1988, when an offer for the Company, which was
suffering trading difficulties, was rejected by the controlling shareholder.
Following legal advice, that company was placed into liquidation in November
1988.

i. any unspent convictions relating to indictable offences;
ii. had a bankruptcy order made against him or entered into any individual
voluntary arrangements;
iii. been a director of a company which has been placed in receivership,
compulsory liquidation, creditors' voluntary liquidation or administration
or entered into a company voluntary arrangement or any composition or
arrangement with its creditors generally or any class of its creditors
whilst he was a director of that company at the time of, or within the 12
months preceding, such events;
iv. been a partner of a firm which has been placed in compulsory liquidation
or administration or which has entered into a partnership voluntary
arrangement whilst he was a partner of that firm at the time of, or within
12 months preceding, such events;
v. had any asset belonging to him placed in receivership or been a partner of
a partnership whose assets have been placed in receivership whilst he was
a partner at the time of, or within 12 months preceding, such
receivership; or
vi. been publicly criticised by any statutory or regulatory authority
(including any recognised professional body) or ever been disqualified by
a court from acting as a director of a company or from acting in the
management or conduct of the affairs of any company.
